Referred to as \u201cProduct,\u201d \u201cGoods,\u201d or \u201cHardware.\u201d<\/p><\/li><\/ul><p>\u00a0<\/p><ul><li><p><strong>Service<\/strong>: The collection, storage, and provision of data and analysis through the <strong>HydroNeo Cloud Service<\/strong>, as well as the remote control or automation of hardware linked to the HydroNeo Control Unit via the <strong>HydroNeo Application<\/strong>. Together, the HydroNeo Cloud System and the HydroNeo Application are referred to as the <strong>\u201cHydroNeo Software.\u201d<\/strong><\/p><\/li><\/ul><p>\u00a0<\/p><ul><li><p><strong>Seller<\/strong>: HydroNeo (Thailand) Company Limited, a company duly registered in Bangkok, Thailand (Registration No. 0105563083712). Referred to as <strong>\u201cHydroNeo (Thailand) Co., Ltd.,\u201d \u201cWe,\u201d or \u201cUs.\u201d<\/strong><\/p><\/li><\/ul><p>\u00a0<\/p><ul><li><p><strong>Buyer<\/strong>: The legal entity or individual (\u201cCustomer\u201d or \u201cYou\u201d) accepting quotations and\/or purchase orders issued by HydroNeo (Thailand) Company Limited.<\/p><\/li><\/ul><p>\u00a0<\/p><ul><li><p><strong>Quotation<\/strong>: A written offer provided by the Seller outlining the products and services offered to the Buyer at a specified price. Quotation and Conclusion of Contract<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-769b553 elementor-widget elementor-widget-text-editor\" data-id=\"769b553\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h3>3.1 Validity of Quotations<\/h3><p>All quotations are valid for the period specified in the quotation. If no period is specified, the standard validity period is <strong>thirty (30) days<\/strong> from the date of issuance.<\/p><h3>\u00a0<\/h3><h3>3.2 Contract Formation<\/h3><p>A contract becomes binding when:<\/p><ul><li>The Buyer signs and returns the quotation to HydroNeo; <strong><strong>or<\/strong><\/strong><\/li><li>The Buyer makes a full or partial payment as specified in the quotation.<\/li><\/ul><p>Upon receiving the signed quotation or payment, HydroNeo will issue an <strong>Order Confirmation<\/strong> to finalize the contract.<\/p><h3>\u00a0<\/h3><h3>3.3 Confirmation Requirement<\/h3><p>All verbal communications, agreements, and quotations must be confirmed in writing to be legally effective.<\/p><h3>\u00a0<\/h3><h3>3.4 Availability Check<\/h3><p>Upon acceptance of the quotation, HydroNeo will verify the availability of products or components. The Buyer will be promptly notified of any delays or unavailability. If necessary, HydroNeo may offer alternative products or solutions.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-13e5db4 elementor-widget elementor-widget-spacer\" data-id=\"13e5db4\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8d14d18 elementor-widget elementor-widget-heading\" data-id=\"8d14d18\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">4. Price and Payment Terms<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e52f3eb elementor-widget elementor-widget-text-editor\" data-id=\"e52f3eb\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h3>4.1 Pricing<\/h3><p>All prices are quoted in <strong>Thai Baht (THB)<\/strong>. Additional costs such as shipping, installation, and applicable taxes (including VAT) are not included unless explicitly stated in the quotation or order form.<\/p><h3>\u00a0<\/h3><h3>4.2 Price Adjustments<\/h3><p>HydroNeo reserves the right to adjust prices if material costs, labor costs, or other factors increase between contract conclusion and delivery. The Buyer will be notified of any such adjustments in advance.<\/p><h3>\u00a0<\/h3><h3>4.3 Payment Terms<\/h3><p>Payment deadlines are specified in the quotation or order confirmation. Payments must be made on or before the due date. Late payments will incur a <strong>late payment fee of 250 THB per outstanding payment<\/strong> to cover additional administrative costs.<\/p><h3>\u00a0<\/h3><h3>4.4 Payment Methods<\/h3><p>Payments can be made via bank transfer or any other method specified in the quotation or mutually agreed upon by both parties. Transfer of Product Ownership<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ce1ed8a elementor-widget elementor-widget-text-editor\" data-id=\"ce1ed8a\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p>Ownership of all products remains with HydroNeo until the full purchase amount, including any applicable fees, has been received by the Seller.<\/p><p>In cases where payment by installments is agreed upon, the following conditions apply:<\/p><ul><li>Ownership remains with HydroNeo until the Buyer completes all installment payments.<br \/><br \/><\/li><li>If the Buyer suspends or defaults on installment payments, the Buyer agrees to return all products received under the order immediately.<br \/><br \/><\/li><li>Any installments paid up to that point will be forfeited to HydroNeo.<\/li><\/ul><p>\u00a0<\/p><p>HydroNeo reserves the right to repossess products after providing the Buyer with a written warning.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8d395d0 elementor-widget elementor-widget-spacer\" data-id=\"8d395d0\" data-element_type=\"widget\" data-widget_type=\"spacer.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t<div class=\"elementor-spacer\">\n\t\t\t<div class=\"elementor-spacer-inner\"><\/div>\n\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a73b8e1 elementor-widget elementor-widget-heading\" data-id=\"a73b8e1\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">6. Subscription and Software Services<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-5b98223 elementor-widget elementor-widget-text-editor\" data-id=\"5b98223\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<h3>6.1 Subscription Services<\/h3><p>Certain services are billed on a <strong>subscription basis<\/strong> (&#8220;Subscription&#8221;). Subscriptions are invoiced <strong>in advance on a recurring basis<\/strong>. Typically, the Customer&#8217;s order will specify the subscription period, which is included in the price and quotation. By accepting the order, the Customer acknowledges and agrees to the applicable fees.<\/p><h3>\u00a0<\/h3><h3>6.2 Service Renewal<\/h3><p>To renew a subscription, the Customer must request a <strong>new quotation<\/strong> specifying the usage period and price. Continued use of the services beyond the initial period requires acceptance of the new quotation.<\/p><h3>\u00a0<\/h3><h3>6.3 Software License<\/h3><p>HydroNeo grants the Buyer a <strong>personal, non-exclusive, non-transferable license<\/strong> to use the HydroNeo Software solely for accessing the services. This license is limited to the number of users specified in the quotation.<\/p><h3>\u00a0<\/h3><h3>6.4 Restrictions<\/h3><p>The Buyer may <span style=\"text-decoration: underline;\"><strong>not<\/strong><\/span>:<\/p><ul><li>Copy, modify, distribute, sell, lease, or sublicense the HydroNeo Software.<\/li><li>Reverse-engineer, decompile, or attempt to extract the source code, unless permitted by law or with HydroNeo\u2019s <strong>written consent<\/strong>.<\/li><\/ul><h3>\u00a0<\/h3><h3>6.5 Service Modifications<\/h3><p>HydroNeo continually improves its services and reserves the right to <strong>add, modify, or remove features<\/strong> at any time. By using our services, you agree to HydroNeo\u2019s use of your data as described in our Data Protection and Privacy Policy.<\/p><h3>\u00a0<\/h3><h3>7.1 Authorized Access<\/h3><p>Only HydroNeo\u2019s authorized employees have access to customer data and are permitted to use this data solely to perform their assigned duties.<\/p><h3>\u00a0<\/h3><h3>7.2 Aggregate Data Use<\/h3><p>Farm-related data may be used in an <strong>aggregated and anonymized<\/strong> form for purposes such as analyzing trends in shrimp farming at a <strong>regional or national level<\/strong>.
